Legal Entity Formation for RIAs (LLCs vs. Corporations)

LLCs are a common choice for advisory firms due to their flexible management structure and pass-through taxation, while corporations (particularly S-corps for smaller firms) offer their own tax treatment options and a more formal governance structure that some founders prefer, particularly with multiple owners. Neither structure is universally “better” — the right choice depends on factors like the number of owners, tax planning goals, and anticipated future changes such as bringing on partners or eventually selling the firm.

This decision needs to be finalized before filing Form ADV, since the entity’s legal name, structure, and formation state are part of what’s disclosed in the registration application.

Why it Matters

Entity structure decisions can be costly and complicated to unwind later — for example, converting from an LLC to a corporation after the fact involves its own legal and tax process — making it worth getting right before registration rather than defaulting to whatever seems simplest at the moment.
