Amendment Filing (Material vs. Annual)

Quick Answer
A Form ADV amendment is an update to a firm’s registration filing. There are two types: the required annual amendment, filed within 90 days of fiscal year-end, and a material amendment, filed promptly whenever certain information changes significantly during the year.

What Is a Form ADV Amendment Filing?

The annual amendment updates the firm’s entire Form ADV based on the prior fiscal year, and every registered adviser must file one regardless of whether anything changed. A material amendment, by contrast, is triggered by specific events — such as a change in ownership, a significant AUM shift, a new disciplinary disclosure, or a change to the firm’s advisory business — and generally must be filed promptly rather than waiting for the annual cycle.

Firms should have a process for recognizing when a mid-year change qualifies as “material” under the rule, since delaying a required amendment until the annual filing can itself be a compliance issue, separate from whatever the underlying change was.

Why it Matters

Waiting for the annual filing to disclose a material change that should have been reported promptly can turn a straightforward update into a timeliness violation on top of the substantive issue.

Frequently Asked Questions

How do I know if a change is "material"?

Generally, changes that would be important to a client’s or regulator’s understanding of the firm — ownership changes, significant AUM shifts, new disciplinary events — qualify; when in doubt, err toward prompt disclosure.

How quickly must a material amendment be filed?

Promptly after the triggering event, rather than waiting for the next scheduled filing.
